View on source(a)A quorum of the board of directors is the majority of the number of directors set or established in the manner provided by the certificate of formation or bylaws of a corporation unless the laws of this state, the certificate of formation, or the bylaws require a different number or portion.
(b)Neither the certificate of formation nor the bylaws may provide that less than one-third of the number of directors constitutes a quorum.
