Good cause appearing, the court orders as follows: (1) The Final Report and Account is approved. All actions taken, contracts made, debts incurred or other transactions entered into by the Receiver shall be and hereby are ratified and approved; (2) That all accounts provided by the Receiver, including the Final Report and Account filed herein, are approved; (3) That the payment of fees and reimbursements of expenses due to the Receiver and his counsel, as set forth in the Final Report and Account, are approved; (4) All bonds, including, the Receiver's and Plaintiff's bonds are hereby exonerated; (5) That the Receiver and his counsel are released from liability for good faith actions taken consistent with the court orders arising out of or in connection with the receivership estate and the real property commonly known as 46-52 Geary Street and 45-47 Maiden Lane, San Francisco, California; (6) That following entry of this Order, the Receiver is authorized to pay, as funds become available, the unpaid fees and expenses of the Receiver and his counsel including all fees and expenses reflected in an Addendum to Final Report and Account to be filed by the Receiver within (60) sixty days after entry of this Order (any funds in Receiver's possession after these payments are made may be returned to Plaintiff, the special servicer, or to any person/entity that Plaintiff directs); and (7) That the receivership is terminated and the Receiver is hereby discharged of all duties, liabilities or obligations related to this action.
