DEFENDANT MOTION TO COMPEL ARBITRATION; is DENIED. As aptly stated by defendant's counsel, "there is nothing to arbitrate yet." The matter should be submitted to arbitration "if the time arrives," such time under Section 3.3 is "if a vote on any matter is not unanimous." It is undisputed that there has been no "vote," that Plaintiff refuses to vote (See Zider February 17, 2026 Declaration) and that Defendant does not appear to be prepared to compel the vote. (See Yang Declaration, response to question 4 not providing an answer in the format requested by the Court "e.g. "party will take steps to compel the vote; the estimated time is 90 days." =(501/CFH)
