Tentative Ruling
Specially Appearing Cross-Defendant Ahmad Fashid Ghyasis (Ghyasi) motion to quash service of summons and cross-complaint for lack of personal jurisdiction and for defective service and to dismiss cross-complaint is UNOPPOSED and is GRANTED.
In its complaint, Plaintiff Netlinks, Inc. (Plaintiff) alleges that in August and September 2017, Ghyasi was approached by his friend, Defendant and Cross-Complainant Ahmad Esmati (Esmati) asking if Ghyasi would arrange for Netlinks LTD to advance certain monies to Cisnet Global IT Solutions (Cisnet) for various projects Cisnet was completing. Netlinks is a global technology firm offering a wide range of cost effective scalable, reliable and innovative technological solutions.
Esmati is alleged to be the CEO of Cisnet. Plaintiff alleges that Ghyasi is the founder of Netlinks LTD and Plaintiff, and is a resident of Virginia.
Pursuant to a written agreement, Netlinks LTD advanced $800,000 to Cisnet. Esmati has not repaid the entire amount. Netlinks LTD subsequently assigned all of its rights, title and interest in the written agreement to Plaintiff. Plaintiff has sued Esmati for breach of contract, fraud, and negligent misrepresentation.
On June 6, 2023, Esmati, in pro per, filed a cross-complaint against Ghyasi for computer trespass, harassment, defamation and fraud. Esmati alleges that Ghyasi hacked into Esmatis emails stored under a service contract in Netlinks Web Hosting Servers, and blackmailed Esmati. He further alleges that Ghyasi has harassed members of Esmatis family to force Esmati to pay for the debt.
Ghyasi moves to quash service of the summons and complaint because he has no meaningful contacts with the State of California. (Code Civ. Proc. §418.10(a)(1).) Ghyasi provides his declaration in which he avers that he is resides in the Commonwealth of Virginia. (Declaration of Ahmad Fashid Ghyasi, ¶ 1.) Netlinks, Inc., is incorporated in the Commonwealth of Virginia and has its principal place of business in Fairfax, Virginia. It has no offices, computers, equipment and/or employees in the state of California. (Id., ¶ 3.)
Ghyasi has never conducted any business in the state of California, either individually or as an employee of Plaintiff and/or any other entity. (Id., ¶ 4.) His sole contact with California is two brief sightseeing trips in 2015 and 2021. He also visited a family friend in 2022. He conducted on personal business on those trips and no business on behalf of Plaintiff and/or any other entity and/or individual. (Id., ¶ 5.) During those trips, he had no contact with Esmati. (Id., ¶ 6.) He does not own and has never owned any property in California.

has rented any offices and/or real property in the state of California. He has never lived in the state of California. (Id., ¶¶ 8-9.)
[W]hen jurisdiction is challenged by a non-resident defendant, the burden of proof is upon the plaintiff to demonstrate that minimum contacts exist between defendants and the forum state to justify imposition of personal jurisdiction. (Mihlon v. Superior Court (1985) 169 Cal.App.3d 703, 710.) Minimum Contacts means the relationship between the nonresident and the forum state is such that exercise of jurisdiction does not offend traditional notions of fair play and substantial justice under the U.S.
Constitutions Fourteenth Amendment Due Process Clause. (International Shoe Co. v. Washington (1945) 326 U.S. 310, 316.) Jurisdictional facts must be proven by competent evidence and an unverified pleading has no value. (Id.) The plaintiff must do more than merely allege jurisdictional facts; the plaintiff must provide affidavits or other authenticated documents demonstrating competent evidence of jurisdictional facts. (BBA Aviation PLC v. Superior Court (2013) 190 Cal.App.4th 421, 428-429.)
A nonresident defendant may be subject to the general jurisdiction of the forum state if his or her contacts are "substantial, continuous and systematic." (Perkins v. Benguet Consolidated Mining Co. (1952) 342 U.S. 437, 446-447; see Vons v. Seabest Food Inc. (1996) 14 Cal.4th 434, 446, 452.) In such circumstances, a non-resident can be sued in the forum state even where the lawsuit is not based on his or her forum related activities.
A court may exercise specific jurisdiction over a nonresident defendant only if: (1) the defendant has purposefully availed himself or herself of forum benefits; (2) the controversy is related to or arises out of [the] defendant's contacts with the forum; and (3) the assertion of personal jurisdiction would comport with 'fair play and substantial justice.'" (Pavlovich v. Superior Court (2002) 29 Cal.4th 262, 269.)
Here, based on the moving papers and Ghyasis declaration, Ghyasi lacks the minimum contacts necessary to support a finding of general or specific jurisdiction.
Having failed to oppose the motion, Esmati cannot meet his burden to demonstrate the minimum contacts necessary to justify the exercise of personal jurisdiction over Ghyasi. Accordingly, the motion to quash is GRANTED. Ghyasis request for dismiss the cross-complaint without prejudice as to him is also GRANTED. (Code Civ. Proc. § 581(h).)
Having granted the motion to quash, the Court need not address Ghyasis argument regarding defective service of summons and complaint.
This minute order is effective immediately. Ghyasi shall submit a formal order and judgment of dismissal without prejudice against him pursuant to CRC Rule 3.1312.
